Dear Sir,

Thank you for choosing Landing (Shenzhen) Law Office (“Landing”, “we” or “us”). This letter confirms our engagement as the legal counsel for [INSERT CLIENT’S NAME] (the “Client” or “you”).

This letter confirms the understanding and agreement (“Agreement”) between us and the Client which is as follows:

1. SCOPE OF SERVICE
1.1 Investigate the address, contact person, litigations involved and asset information of 【INSERT】 (Chinese Name: INSERT) (hereinafter referred to as the “Counter-party”) on behalf of the Client.
1.2 Based on the results of investigation, formulate a risk prompts/ litigation or criminal reporting plan for the Client.

2. ACCOUNTS/BILLING
2.1 For the scope of work mentioned in clause 1 above, our professional services will be charged at a flat fee of USD 300, payable immediately upon execution of this Agreement.
2.2 Please kindly note that the above prices do not include the bank charges. The Client shall pay the bank charges incurred by the transfer.

The firm has some general standard conditions of engagement, which are listed here with for your reference and are an integral part of the engagement.

General Standard conditions of engagement:

4. Disbursements such as travel expenses, charges and/or fees payable to the court, official authorities and/or other third parties relevant to the Scope of Service will be paid by the Client based on actual costs incurred. We will send the disbursement budget to obtain the Client’s approval prior to the occurance of any disbursement and send the bill of actual costs to the Client to pay.

5. CONFIDENTIALITY
5.1 We promise to act in a professional and ethical manner at all times, and exercise sound judgment and discretion while handling the Client’s matters. All information regarding the Client shall be kept privileged and confidential and shall not be disclosed to any third party without the prior written consent of the Client or if mandated/ bound by any statutory law for the time being in force.

6. YOUR RIGHT TO TERMINATE
6.1 Under any of the following circumstances, you have the right to request us to refund the unincurred attorney fees :
6.1.1 failing to attend the trial according to the notice of the judicial organ without justifiable reasons;
6.1.2 Without the permission of you, act as the entrusted agent of another party with a legal conflict of interest with you.
7. OUR RIGHT TO TERMINATE
7.1 We may terminate our legal service at any time if any of the following circumstances occur:
7.1.1 If you breach any material term of this agreement or fail to cooperate or follow our advice on a material matter;
7.1.2 If any conflict of interest is developed or discovered after the date of this Agreement, or if there exists at any time fact or circumstance that would, in our opinion, render our continuing legal service unlawful, unethical, or otherwise inappropriate.
7.2 If we elect to terminate our representation, you will take all steps reasonably necessary and will cooperate as reasonably required to free us of any further obligation to perform legal services, including the execution of any documents necessary to complete our withdrawal of legal service. In such case, you agree to pay for all legal services performed and expenses incurred before the termination of our representation in accordance with the provision of this agreement.

8.MISCELLANEOUS
8.1 The Agreement shall come into force on the date of signing.
8.2 The scan copy of the Agreement shall have the same effect as the original.
8.3 You shall pay legal fees, lawyer fees or work expenses in time as agreed in the Agreement. We have the right to claim deferred interest on the unpaid fees at the rate of 0.05% per day, and suspend work until you have paid in full.
8.4 Unless otherwise agreed herein, neither party shall terminate the Agreement before the entrustment and agency matters listed in Article 1 hereof are completed, otherwise, 10% of the value of the subject matter hereof shall be paid as liquidated damages.
8.5 The Laws of PRC shall govern the validity interpretation and performance of this Agreement.
8.6 The outcome of a case mainly depends on the identification of the facts of the case, the adoption of evidence, the application of the law, and many other factors. Different legal staff may have different knowledge and understanding of facts and laws. In the negotiation stage of each case, there may be a risk of negotiation failure. Every litigation or arbitration has the risk of losing or partially losing. Therefore, we cannot make a commitment to the outcome of the case. Our analysis or conjecture on the facts of the case and the outcome of the case is only a work opinion, not a commitment to the outcome of the case.
8.7 Any dispute arising from or in connection with this Agreement shall be first resolved through friendly consultation. If consultation fails, such dispute shall be submitted to Shenzhen Court of International Arbitration (SCIA) for arbitration.
